Marilyn L. Jacobs is Senior Counsel in Lozano Smith's Sacramento Office. She is a member of the firm's Facilities & Business, and Public Finance Practice Groups.
In addition to advising public and private sector clients regarding business formation and general corporate and tax issues, Ms. Jacobs has significant experience assisting school districts with bond elections and public finance matters. She serves as bond counsel and disclosure counsel for both long-term and short-term financings and refinancings, such as general obligation bonds, bond anticipation notes, and certificates of participation.
Ms. Jacobs assists clients with tax compliance and audit issues at both the federal and state levels. In addition to payroll tax compliance, she assists with tax planning and the implementation of tax advantageous structures. Ms. Jacobs also has significant experience counseling nonprofit organizations, advising them on various issues such as formation, obtaining federal and state tax-exempt status, compliance, dissolution, and governance.
Ms. Jacobs is a member of the National Association of Bond Lawyers, the State Bar of California and the State Bar of Texas.
Ms. Jacobs received her LL.M in Taxation from New York University; her J.D.(with distinction) from St. Mary's University School of Law in San Antonio, Texas; her B.S. in Biology (magna cum laude) and Master's in Education, Curriculum & Instruction, from the University of Houston.
